Legal Provisions for the Theory of Subsidiary Commercial Acts In accordance with the Latest Developments in Saudi Laws

- An Applied Fundamental Study -

يتناول هذا البحث "التعويض عن الضرر المعنوي" حقوق الأشخاص النفسية والأدبية، والتي يتم انتهاكها بشكل أو بآخر، وموقف الشريعة الإسلامية من تعويض هذا النوع من الضرر، وموقف النظام السعودي منه في القديم والحديث.

وقد عرضتُ في هذه الدراسة أبرز أقوال الفقهاء المعاصرين وأدلتهم بعد تحرير محل الخلاف في المسألة، وبينّت الراجح عندي وهو الجمع بين الأقوال، وذكرتُ أسباب الترجيح المتعددة.

ثم تطرقت لموقف النظام السعودي القديم قبل صدور الموافقة على نظام المعاملات المدنية في تاريخ: 14/ 6/ 2023م، بعد استقراء كثير من النصوص النظامية، والتطبيقات القضائية، وتوصلت بعدها إلى عدة نتائج.

ثم ذكرت ما ورد في النظام السعودي الحديث من المواد النظامية التي تنص على التعويض عن الضرر المعنوي وما جاء فيها من قواعد وضوابط.

اعتمدت هذه الدراسة على الاستقراء والرجوع إلى أقوال الفقهاء المعاصرين، وأدلتها. مع ذكر بعض المواد النظامية الصادرة من وزارة العدل، والاستشهاد بالتطبيقات القضائية.

وقد انتهت بذكر أبرز النتائج والتوصيات.

                            Abstract

This research, which is entitled: Legal provisions for the theory of subsidiary commercial acts in accordance with the latest developments in Saudi laws, which included the concept of subsidiary commercial act, and the systematic basis of the theory of subsidiary commercial act, as well as judicial jurisdiction to consider commercial act disputes, and methods of proof therein, and the fundamental and applied approach was followed, and the research included several important results:

-The subsidiary commercial act is the civil business carried out by the merchant as a result of his commercial work, and the theory of subsidiary commercial act does not apply to the merchant’s business that is not related to it.

-The statutory basis for the theory of subsidiary commercial acts is the text of Paragraph (D) of article Two of the Commercial Court Law. Saudi judicial jurisdiction in the commercial court system has settled on hearing lawsuits arising from subsidiary commercial acts by association, as long as the two parties are originally merchants.

-The merchant's contracts and obligations are considered subsidiary commercial acts by extension unless they relate to civil works, and all non-contractual obligations of merchants are also considered commercial by extension.

-The theory of subsidiary commercial acts is based on the idea of personal dependency to unify the legal system to which the merchant is subject in the practice of his business, and the opinion has been settled that all actions carried out by the merchant which are assumed to be related to his trade are considered commercial until evidence proves otherwise, therefore, merchant is the one who provides evidence that his business is not commercial, if he wants to get rid of the presumption imposed on him.

I recommended that the application of the Theory of Subsidiary Commercial Acts, in terms of the jurisdiction of commercial courts, include all merchant’s business transactions, whether contractual or non-contractual, and whether the Plaintiff is a merchant or not.
